BAAZ DISPATCH SERVICE AGREEMENT

This Dispatch Service Agreement (“Agreement”) is made and entered into as of [Date], by and between:

BAAZ Dispatch Services (“Dispatcher”)
and
[Carrier/Company Name] (“Carrier”)

1. PURPOSE

Dispatcher agrees to provide dispatch and administrative support services to Carrier. Carrier authorizes Dispatcher to act on its behalf to locate and coordinate freight opportunities.

2. SCOPE OF SERVICES

Dispatcher agrees to:

Search and identify suitable freight loads
Negotiate rates with brokers/shippers
Provide load details and rate confirmations
Communicate with brokers regarding dispatch-related matters
Assist with basic documentation related to load booking

3. LIMITATION OF SERVICES

Dispatcher does NOT:

Act as a licensed freight broker
Take possession or control of freight
Handle billing or collect payments from brokers/shippers
Guarantee loads, rates, or availability
Assume liability for cargo, delays, or damages
Dispatcher operates strictly as an independent dispatch service.

4. PAYMENT TERMS

Carrier agrees to compensate Dispatcher as follows:

5% per booked load

Payment is due within 24–48 hours of Carrier receiving invoice
Late payments may be subject to a $50 late fee

5. NON-CIRCUMVENTION (CRITICAL CLAUSE)

Carrier agrees NOT to bypass, avoid, or circumvent Dispatcher to directly engage with any broker, shipper, or customer introduced by Dispatcher.

This clause remains in effect for 6–12 months from the date of introduction.

Violation of this clause may result in:

Immediate termination
Legal action
Financial penalties equal to lost commission

6. CARRIER RESPONSIBILITIES

Carrier agrees to:

Maintain valid MC, DOT, and all required operating authority
Maintain active insurance coverage
Comply with all applicable laws and regulations
Deliver loads safely and on time
Communicate delays or issues promptly

7. INDEPENDENT CONTRACTOR STATUS

Both parties agree:

Dispatcher is an independent contractor
No employer-employee relationship exists
Carrier retains full operational control of its business

8. LIABILITY DISCLAIMER

Dispatcher shall not be held liable for:

Cargo damage or loss
Delivery delays
Broker non-payment
Any operational issues related to Carrier

Carrier assumes full responsibility for all transportation activities.

9. TERM & TERMINATION

This Agreement remains active until terminated by either party
Either party may terminate with 7 days written notice
Immediate termination may occur in case of breach

10.CONFIDENTIALITY

Both parties agree not to disclose:

Business practices
Rates or pricing structures
Broker or customer information

11. GOVERNING LAW

This Agreement shall be governed by the laws of: CANADA and USA

12. ENTIRE AGREEMENT

This document represents the entire agreement between both parties and supersedes any prior discussions or agreements.
